Governance Framework

Bicameral Governance

A balanced governance model that combines operational efficiency with decentralized oversight and community participation.

The Bicameral Model

MBO Foundation employs a bicameral governance structure inspired by traditional parliamentary systems, adapted for the unique requirements of decentralized technology infrastructure. This model balances democratic legitimacy with operational efficiency.

S

Strategic Level

The "Senate" — MBO Foundation DAO

  • High-impact, low-frequency decisions
  • Constitutional amendments
  • Major treasury allocations (>€100k)
  • Guardian Council elections
  • Quarterly voting cycles
O

Operational Level

The "Executive" — Technical Council

  • Day-to-day operations
  • Technical maintenance
  • Budget execution within limits
  • Partnership negotiations
  • Daily/weekly execution cycles

The Guardian Council

The Guardian Council serves as the legal interface between the decentralized network and traditional legal systems. These are the official Directors of the CLG under Irish law.

Council Responsibilities

Legal Compliance

Ensure all DAO decisions comply with Irish and EU law, including MiCA regulations and AML requirements.

Veto Authority

Limited veto power only for decisions that would violate law or the foundational constitution.

Execution Duty

Bound by constitution to execute valid DAO votes in the traditional legal realm.

Regulatory Interface

Official point of contact with regulators, banks, and institutional partners.

Optimistic Governance

For operational decisions, we implement an "Optimistic Governance" pattern that enables rapid execution while preserving community control.

How It Works

1

Proposal Publication

Technical Council publishes proposed action on-chain

2

Veto Window

7-day period for community to raise objections

3

Automatic Execution

If no veto, action executes automatically after window closes

Result: Speed of centralized execution with decentralized override capability.

Irish CLG Structure

MBO Foundation is legally structured as a Company Limited by Guarantee (CLG) under Irish law, providing a robust legal framework for decentralized governance.

No Share Capital

Members are guarantors, not shareholders. Governance is based on participation, not capital investment.

Asset Lock

Constitutional mechanism prevents profit distribution to members, ensuring mission alignment.

Limited Liability

Member liability capped at €1, protecting participants from organizational debts.

EU Passporting

Irish registration enables operations across the entire European Union market.
